These Terms of Use ("Terms") govern your access to and use of the Heartland AI Legal Platform website, applications, and related services (collectively, the "Service") operated by Heartland AI ("Heartland AI," "we," "our," or "us"). By creating an account or using the Service, you agree to these Terms.

The Service is intended for legal professionals, law firms, and authorized business users. You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account.

Heartland AI provides AI-assisted tools for legal work, including contract review, document analysis, due diligence workflows, audit tables, and US legal research features. Features may change over time as we improve the platform.

The Service is a technology tool. It does not provide legal advice, and output should be reviewed by qualified professionals before reliance in legal matters.

You agree not to:

• Use the Service in violation of applicable law or professional obligations
• Upload malicious code or attempt unauthorized access to systems or data
• Reverse engineer, scrape, or abuse platform endpoints except as permitted by law
• Misrepresent AI-generated content as human-authored legal advice without appropriate review
• Use the Service to process data you are not authorized to handle

You retain ownership of documents, prompts, and other content you submit ("Customer Content"). You grant Heartland AI a limited license to host, process, and transmit Customer Content solely to provide and improve the Service, subject to our Privacy Policy.

If you connect third-party AI provider API keys, you are responsible for your provider account, billing, usage limits, and compliance with that provider's terms. We store keys in encrypted form and use them only to fulfill your requests within the Service.

Paid plans, seat licenses, and related fees are described on our pricing page or in an order form. Unless otherwise stated, fees are non-refundable except where required by law. We may change pricing with reasonable notice for future billing periods.

Heartland AI and its licensors own the Service, software, branding, and underlying technology. These Terms do not grant you any rights to our trademarks or proprietary materials except as needed to use the Service.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEARTLAND AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR LEGAL OUTCOME.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEARTLAND AI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO HEARTLAND AI IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify and hold harmless Heartland AI from claims arising out of your use of the Service, your Customer Content, or your violation of these Terms or applicable law.

We may suspend or terminate access if you breach these Terms, create security risk, or as required by law. You may stop using the Service at any time. Provisions that by nature should survive termination will survive.

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, except where mandatory local law applies.

We may update these Terms from time to time. Continued use after the effective date of revised Terms constitutes acceptance. Material changes may be communicated through the Service or by email.
